Terms & Conditions of Service

1. Agreement to Terms

By accessing the SM Global Solution website or engaging our services (including B2B Database procurement, Email Appending, Software Development, or IT Hardware Rental), you agree to be bound by these Terms and Conditions. If you disagree with any portion, you must cease using our services immediately.

2. Data Licensing & Permitted Use

All datasets, business lists, and email appending outputs delivered by SM Global Solution are provided under a non-exclusive, non-transferable commercial license:

• The client is authorized to utilize provided records for internal direct marketing, business development, outbound telephone sales, and account-based marketing.
• Reselling, sublicensing, publishing publicly, or redistributing our raw datasets to unauthorized third parties without prior written broker authorization is strictly prohibited.
• Clients must conduct outreach in accordance with applicable consumer protection and marketing regulations, including CAN-SPAM, the Telephone Consumer Protection Act (TCPA), and GDPR.

3. Service Level Agreement (SLA) & Data Guarantee

We commit to a 95% deliverability rate on verified emails and tele-verified contact records within 30 calendar days of delivery. If hard bounces exceed 5%, verified bounce reports submitted within 30 days are entitled to replacement records or proportional account credit.

4. IT Hardware Rentals and Custody

For clients renting workstations, laptops, or servers:

• All rental equipment remains the sole property of SM Global Solution.
• Equipment must be operated under normal enterprise environmental conditions and protected against physical and liquid damage.
• Hardware failures due to natural component defects are covered by our zero-downtime swap guarantee; damages resulting from negligence or unauthorized physical tampering are billable.

5. Custom Software & Web Engineering Handover

Upon final milestone sign-off and receipt of invoice clearance, full intellectual property rights, compiled source code, and administrative credentials for bespoke software or web projects are transferred to the client.

6. Limitation of Liability

In no circumstance shall SM Global Solution, its directors, or employees be held liable for indirect, punitive, or consequential damages (including loss of business profits or campaign interruption) exceeding the total contract fee paid by the client for the specific service under dispute.
